Blanket Exemption Certificate

EnPro Industries Inc, the undersigned purchaser, hereby certifies to the seller that it is a licensed dealer under the laws of the states listed, holding the respective sales tax licenses or permits as indicated, and that any service or tangible personal property purchased on all orders issued, unless otherwise specified on the Purchase Order, and until revoked in writing, is exempt from the state and local sales and use taxes for the reason that such purchase is intended for the purpose of: (1) Resale, leasing or renting; or (2) To be used or incorporated as component parts of other tangible personal property to be produced for sale by manufacturing, processing or fabrication. The undersigned purchaser further certifies that it will assume liability for payment direct to the respective tax authorities if any item purchased is used or consumed in such a manner as to render the sale subject to tax.
